Antenna Experts | Standard Terms and Conditions of Sale

1. Formation of Agreement

These Terms and Conditions apply to all offers, quotes, bids, or proposals issued by Antenna Experts ("the Company") to the Customer.

Binding Contract: An agreement becomes legally binding once the Customer executes the Quote and returns it via email, fax, or courier.
Order of Precedence: If there is a conflict between these Terms and the specific details in the Quote, the Quote shall prevail.
Customer Purchase Orders: Any PO issued by the Customer is for internal administrative purposes only. Its terms cannot modify this Agreement.
Entire Agreement: This document supersedes all prior communications. Amendments are only valid if made in writing and signed by both parties.

2. Payment and Credit Terms

Standard Terms: Payment terms are at the sole discretion of Antenna Experts which are generally 100% advance 2 days prior to dispatch the shipment.
Credit Accounts: If credit is granted, payment is due within the period specified on the Quote.
Default Timing: If credit is approved but no specific period is mentioned, invoices are due thirty (30) days from the invoice date.
Clock Start: The payment period begins the day after the invoice date.

3. Pricing, Taxes and Duties

Exclusions: Unless stated otherwise, prices do not include GST, sales tax, VAT, excise taxes, or import/export duties. The Customer is responsible for all such charges.
Verification: Prices are subject to final verification by Antenna Experts upon the Customer's acceptance of the Quote.
Volume Pricing: Quotes are based on specific quantities. If the Customer fails to take delivery of the full quantity, Antenna Experts reserves the right to adjust pricing for the lesser amount.

4. Shipping, Delivery and Risk

Logistics Basis: All products are delivered Ex-Works (EXW) from the Antenna Experts facility in Delhi NCR, India.
Transfer of Risk: Title and the risk of loss or damage pass to the Customer the moment the shipment leaves our facility.
Delivery Estimates: Stated delivery dates are estimates only. While we strive to meet these dates, Antenna Experts is not liable for delays.

5. Product Packaging

Standard Packaging: Corrugated Boxes, engineered for maximum structural integrity and impact resistance. Constructed from nine layers of high-density Kraft paper, these boxes offer superior stacking strength and puncture protection, ensuring the contents remain secure during long-transit maritime or air freight. To further reinforce the enclosure, these boxes feature Dual Full Overlap (FOL) flaps, where both outer flaps extend to cover the entire width of the box. This double-layering at the top and bottom provides an extra buffer against crushing and significantly enhances the seal's durability against moisture and rough handling.
Non-Standard Packaging: Antenna Experts provides premium standard protection for all shipments. However, should the Customer require or the destination necessitate Specialized Packaging, the following terms apply:
Custom Requirements: Requests for high-reinforcement packaging, such as heat-treated wooden crates, heavy-duty aluminum frames, or vacuum-sealed moisture barriers, will incur additional material and labor charges.
- Carrier & Destination Mandates: Depending on the selected carrier, final destination, or specific international transit regulations (e.g., maritime long-haul), Antenna Experts reserves the right to mandate specialized packaging to ensure product integrity.
- Cost Allocation: All costs associated with these specialized materials and the additional dimensional weight they may create are the sole responsibility of the Customer and will be invoiced accordingly.

6. Inspection and Acceptance

Deemed Acceptance: Products are considered accepted upon delivery unless the Customer provides written notice of rejection within ten (10) days.
Rejection Notice: Any rejection must include specific reasons for the refusal of the goods.

7. Confidentiality

Protection of Data: The Customer must maintain strict confidentiality regarding all technical data, drawings, software, and know-how provided by Antenna Experts.
Limited Use: Confidential information may only be used for the purpose of operating the Products and Services.
Duration: These obligations remain in effect during the Agreement and for 3 years following its termination.
Publicity: The Customer may not use the "Antenna Experts" name or disclose the existence of this Agreement without prior written consent.
